Elevating Leadership Through a Robust Code of Conduct
An effective Code of Conduct for directors—whether trustees or board members of any organisation—serves as more than just a guideline; it is a vital contract linking directors, their organisations, and the broader society they impact. Such a code fosters better directors who, in turn, build stronger, more ethical businesses that become a genuine force for societal good.
For many years, the UK has grappled with a persistent challenge: directors are often chosen for their technical expertise rather than their leadership capabilities. While they may possess deep sector knowledge and operational know-how, many lack a comprehensive understanding of their duties or governance responsibilities. This gap can lead to directors who can manage day-to-day business but struggle to lead with vision and accountability.
Recognising this, the Institute of Directors (IoD) introduced a refreshed Code of Conduct for Directors in 2024. Designed to raise standards without adding unnecessary bureaucracy, this Code addresses directors across all business types—from small enterprises to large corporations and non-executive roles in the modern economy. When embraced sincerely, it holds transformative power, not only for businesses and their boards but also for the communities these entities serve. Additionally, it empowers directors by building confidence and providing assurance that their conduct aligns with best practices.
As one of the commissioners involved in developing the IoD Code, I have witnessed firsthand how improving directors’ capabilities leads to better organisational outcomes. This principle holds true across sectors, including the third sector where I have chaired boards of trustees.
Why a Code of Conduct Matters
Most directors enter their roles without formal training and often lack a clear understanding of their legal duties. Many only grasp what constitutes “good governance” after a crisis occurs. A well-crafted Code of Conduct offers a practical framework centred on integrity, transparency, accountability, sound judgement, respect for people and stakeholders, and a commitment to continuous learning.
This clarity is crucial because it builds confidence. When directors understand what is expected of them, they make more informed decisions, raise pertinent questions, and challenge assumptions constructively. In effect, a Code transforms “accidental directors” into intentional, purposeful leaders.
How a Code Creates Better Boards
Boards falter when directors stay silent, succumb to groupthink, fail to manage conflicts of interest, overlook poor behaviour, withhold information, or rush decisions. A rigorous Code of Conduct addresses these vulnerabilities by championing independence of thought, ethical decision-making, respectful debate, transparency, and a culture of continuous improvement.
When directors adhere to such standards, boards become more cognitively diverse, exercise rigorous oversight, and adopt more effective strategies. This cultural shift enhances the board’s ability to steer organisations through complex challenges and opportunities.
Better Boards Create Better Businesses
Success in business is rarely about having the best product alone. It springs from exemplary leadership behaviours. A strong Code encourages directors to embed purpose at the heart of strategy, ensure fair treatment of employees and partners, build resilient supply chains, invest in skills and innovation, manage risk prudently, and communicate honestly with all stakeholders.
These behaviours foster businesses that are more trusted, resilient, productive, and appealing to investors—qualities that are increasingly critical in today’s competitive and socially conscious markets.
Better Businesses Become a Force for Good
When directors lead effectively, businesses act responsibly, benefiting society as a whole. An effective Code promotes fair worker treatment, responsible supply chains, environmental stewardship, community engagement, and ethical leadership. Far from being a “woke” trend, these practices are smart business strategies that build sustainable, long-term value rather than short-lived public relations gains.
A Code of Conduct Is a Blueprint for the Future of UK Business
The UK’s economic future depends on higher productivity, stronger governance, increased trust in business, greater investment, and more inclusive growth. While a Code of Conduct is not a cure-all, it lays a crucial foundation by equipping directors with tools to lead with integrity, providing boards with a structure for effective governance, and guiding businesses toward responsible operations.
Importantly, it also reassures society that business can be a positive force rather than a source of risk. As the saying goes, better directors create better boards, better boards create better businesses, and better businesses create a better country.
